By engaging Meridium for Services or using this website, you confirm that you have read and agree to these Terms. Engagements are available to organisations and professionals aged 18 or above who have the legal capacity to enter into binding agreements. If you are accepting these Terms on behalf of an organisation, you confirm that you are authorised to do so.

Meridium provides AI consulting and implementation services to organisations in Hong Kong and the broader Asia Pacific region. Services are subject to a separate Scope of Work agreed in writing before work commences. Our current service offerings include:

5. Intellectual Property

5.1 Our IP

All methodologies, templates, frameworks, and proprietary tools developed by Meridium remain our intellectual property. We grant you a non-exclusive, non-transferable licence to use deliverables produced under an agreed Scope of Work for the internal purposes of your organisation.

5.2 Client IP

Data, systems, and materials you provide to us for the purpose of an engagement remain your property. We use these solely to deliver the agreed Services and do not retain them after project completion unless otherwise agreed in writing.

5.3 Deliverables

Upon receipt of full payment, ownership of agreed deliverables (as defined in the Scope of Work) is assigned to you, except where those deliverables incorporate our proprietary tools or frameworks, which remain licensed rather than transferred.

6. Payment Terms

All prices are quoted in Hong Kong Dollars (HKD) and are inclusive of applicable taxes unless otherwise stated. Payment terms are as follows:

Refund Policy

Workshop cancellations made more than 5 business days prior to the session date are eligible for a full refund. Cancellations within 5 business days are non-refundable but may be rescheduled at our discretion. For project engagements, deposit payments are generally non-refundable where discovery work has commenced. Specific refund conditions are set out in each Scope of Work.

7. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with an engagement. This obligation survives termination of the engagement for a period of 3 years. Standard exceptions apply, including information that is already publicly available or independently developed.

8. Disclaimers

Services are provided in good faith based on information available at the time of delivery. We do not represent that AI systems or outputs will be free from errors, or that outcomes will meet specific business targets. AI systems inherently involve uncertainty, and results depend on data quality, organisational context, and factors outside our control. Our outputs constitute professional recommendations, not definitive decisions.

9. Limitation of Liability

To the extent permitted by Hong Kong law, Meridium's total liability for any claim arising from an engagement shall not exceed the total fees paid under the relevant Scope of Work. We are not liable for indirect, consequential, or incidental losses, including loss of revenue, loss of data, or business interruption, arising from the use of our services or deliverables.

Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

10. Indemnification

You agree to indemnify and hold Meridium harmless from any claims, damages, or costs arising from your use of our deliverables in a manner inconsistent with these Terms, or from inaccurate or misleading information provided to us during an engagement.

11. Termination

Either party may terminate an engagement by providing written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days of notice. On termination, you are responsible for payment of fees for work completed up to the termination date. Sections relating to IP, confidentiality, limitation of liability, and governing law survive termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute arising from or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes may be referred to the Hong Kong International Arbitration Centre (HKIAC) for binding arbitration under its administered rules.

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. For existing engagements, material changes will be communicated directly. Continued use of our services following notification of changes constitutes acceptance.
